What is a contract amendment?

It is a written change to an existing agreement, signed by the same parties, that alters some terms and leaves the rest untouched. The amendment points back to the original contract by name and date, so anyone reading either document can see how they fit together.

Procurement and legal teams use one whenever a live contract needs to change: a price increase at renewal, an added product, a longer term, a new billing address or a revised service level. It is faster than renegotiating the whole contract and keeps the signed original intact.

An agreement amendment template saves drafting time and makes sure nothing basic is missed, such as the effective date, the clause numbers being changed or the statement that all other terms continue. Most contracts say they can only be changed in writing and signed by both sides, which is exactly what this document provides.

An amendment changes a live contract in five steps, from spotting the need to filing the signed copy. Skipping the last step is how teams end up enforcing the wrong price.

Part 1 · Full amendment

The contract amendment template

The full amendment has ten clauses, from the title and parties to signatures. Fill in the brackets, list each change against its clause number and have counsel review before signing.

Number amendments in sequence, such as Amendment No. 2, so the history of a contract is easy to follow. Quote the exact clause being changed rather than describing it. If more than three or four amendments pile up, consider a restated agreement instead.

    Full legal names and addresses, exactly as in the original contract.

    Title and date of the original contract, plus any earlier amendments.

    Why the parties are amending, in one or two sentences.

  5. 05Definitions

    Capitalised terms keep the meaning given in the original agreement.

  6. 06Amendments

    Each change numbered, stating the clause, schedule or price it deletes, replaces or adds.

  7. 07Effective date

    When the changes apply: on signing, on a set date, or backdated with a reason.

  8. 08Remaining terms

    All other terms stay in full force, and this amendment wins if there is a conflict.

  9. 09Counterparts and e-signature

    The amendment may be signed in separate copies and electronically.

  10. 10Signatures

    Name, title, signature and date for an authorised signer at each party.

Part 2 · Change wording

How to word an amendment to a contract

Every change is one of four types: replace, insert, delete or restate. Quote the exact clause number and new text so there is only one way to read it.

Vague wording such as "the fees are updated" causes disputes because nobody can say what the new fee is. Use the patterns below, one numbered paragraph per change. Where a whole schedule changes, replace the schedule rather than editing lines inside it.

Worked example: price and term change
AMENDMENT No. 2 TO THE SUBSCRIPTION AGREEMENT

This Amendment is made on [1 November 2026] between Orbit Analytics Ltd ("Customer") and Brightline Software Inc. ("Supplier").

1. Clause 3.1 (Term) is deleted and replaced with: "The Initial Term ends on 31 March 2028."
2. Schedule B (Fees) is replaced with the attached Schedule B, under which the annual fee is [54,000.00], fixed until 31 March 2028.
3. Except as amended above, the Agreement remains in full force and effect.
Part 4 · Amendment letter

Amendment letter format

An amendment letter makes a small change in letter form, which the other party countersigns to accept. It suits single changes such as a new address or a short extension.

A letter is quicker to read than a formal amendment, but it binds only once both parties sign it. Keep it to one change, quote the clause, and include the same "all other terms remain" sentence as the full template.

Run these ten checks before an amendment is signed. They catch the errors that make amendments unenforceable or leave old prices in the system.

Most amendment problems are administrative, not legal: wrong party name, missing signature authority or a signed copy that never reaches AP. Tick each check and keep the list with the signed amendment.

An amendment changes existing terms, while an addendum adds new material to a contract. The right document depends on whether you are altering what was agreed or adding to it.
Amendment

Changes, replaces or deletes terms already in the contract.

Addendum

Adds new terms or an attachment without changing the existing ones.

Change order

A pre-agreed mechanism, often in services contracts, for changing scope, cost or timing.

Amended and restated agreement

A full new version of the contract that folds in every earlier change.

Novation

Replaces one party with a new one, which usually needs all three parties to sign.

Variation

Example

One amendment, start to finish

Adding seats mid-term changed both the fee schedule and the renewal plan. A single amendment covered both and kept the original intact.

Orbit Analytics needs 50 more users on its Brightline Software contract, mid-way through a three-year term. Amendment No. 2 replaces Schedule B, adding the seats at an illustrative 180.00 per user per year, prorated, and extends the term to 31 March 2028 to lock the rate. Both parties e-sign on 1 November 2026 and the renewal reminder moves to January 2028.
