A contract compliance checklist is the running list your team uses after signature to confirm that the legal, financial and operational commitments in an agreement are being met by both sides, with an owner and evidence behind every line.

Choose the contract value to see the checks that agreement needs, then run them on the cadence in the frequency table below. Open any row for the evidence to look at and the red flag that should trigger an escalation.
Get the contract compliance checklist as an Excel tracker with owners, status drop-downs and a progress score.
Contract compliance is the ongoing proof that both parties are doing what they signed up to: delivering the agreed work, charging the agreed price and keeping the legal and data promises. The checklist is the tool your team runs every month to collect that proof.
Compliance starts the day the contract is signed and runs until the last obligation ends. It is not a one-off review: each check has a frequency, and a missed SLA or an over-billed invoice gets caught within weeks rather than at renewal.
A contract audit is different. An audit looks back over a sample of executed contracts at a point in time and grades what it finds. Good compliance tracking makes the audit fast, because the evidence is already filed.
This checklist is a starting point, not legal advice.
Cover six areas, in the order an obligation moves from the signed page into daily work.
| Area | What you are confirming | Usual owner |
|---|---|---|
| Contract identification | We know which contract this is, who signed it and where the master sits | Contract owner |
| Obligations and deliverables | Each duty has an owner, a date and an acceptance step | Business owner |
| Pricing and payment | Invoices match contracted rates, discounts and payment terms | Finance |
| Regulatory, legal and data security | Regulations, NDA, DPA, insurance and licences are covered and current | Legal, Compliance |
| Change management and reporting | Changes are approved in writing and reports arrive as agreed | Legal, Contract owner |
| Renewal and termination | Key dates are alerted and exit duties are met | Procurement |
Legal terms get most of the attention, but the money leaks through commercial terms. Run these eight checks on any vendor you pay monthly or quarterly.
Once a quarter, pick a handful of live contracts and test whether the compliance checks were actually run. This contract compliance audit checklist is a light internal test; a full contract audit with graded findings has its own checklist.
Record any gap as a finding with an owner and a fix date, then re-test the same contract next quarter.
Download the contract compliance checklist so every owner can work their own rows in Excel or Google Sheets, with status and dates.
Give each failed check a severity so the team fixes the right things first, and run each area on a fixed rhythm.
| Severity | Example | Response |
|---|---|---|
| High | Personal data shared with no DPA, or over-billing above contract | Escalate to the business owner and legal this week |
| Medium | SLA missed with no credit, change order unsigned | Fix within 30 days and log the action |
| Low | Contact list out of date, report late | Fix at the next scheduled review |
| Area | How often to check |
|---|---|
| Pricing and invoices | Every invoice, or a monthly sample for high volumes |
| SLAs and deliverables | Monthly |
| Obligations you owe | Quarterly |
| Insurance, licences and security reports | Every six months and at expiry |
| Notice and renewal dates | 90, 60 and 30 days before notice |
Not every contract needs every check. The contract value filter in the checklist follows these three levels.
Large or multi-year contracts, or any vendor holding sensitive data.
Evidence filed for every check
Mid-sized services and software contracts.
Skip the over-$100k-only checks
Low-value subscriptions and one-off services.
Register, pricing, DPA and dates only
Compliance fails when everyone assumes someone else is watching. Give each role a clear part.
| Role | Responsible for |
|---|---|
| Contract owner | Register, obligations, change log, escalation |
| Business owner | Deliverables, SLAs, acceptance, status reports |
| Finance | Invoice match, discounts, credits, final reconciliation |
| Legal | NDA, DPA, change orders, breach notices |
| Procurement | Parties, insurance, renewal dates, uplift caps |
| Security and Compliance | Regulatory terms and security attestations |
Build the checklist once from your signed contracts, then run it on a cycle.
Put every signed contract and exhibit in one repository.
Pull obligations, prices, SLAs and key dates into a register.
Name one owner and a frequency for each check.
Run checks on schedule and file the evidence.
Grade failures by severity and report them monthly.
Here is a quarterly run of the checklist on one facilities contract, with three findings and what happened next. The companies and figures are illustrative.

Most guides name offer, acceptance, consideration, capacity and a lawful purpose. Compliance checks assume these are in place and focus on whether the terms are being met.
The usual list adds intention to create legal relations and certainty of terms to the five requirements above. Ask your lawyer if you are unsure a contract is enforceable, since this checklist is not legal advice.
It is a short set of tests that checks whether compliance tracking was actually done on a sample of contracts. The eight-point version above runs quarterly and comes as a separate sheet in the download.
Yes. Download it as Excel, a Google Sheet or a printable PDF from this page, with no email form. Each version includes the frequency and severity columns.
