A contract approval checklist is the set of checks and sign-offs a contract must clear before anyone signs it: confirming the parties, scope and price, reviewing legal and security risk, and recording who approved it and who owns it afterwards.

Choose the contract value to see which checks this agreement needs before signature. Open any row for the evidence the approver should see and the red flag that sends the contract back.

Contract approval is the last gate before signature: the point where finance, legal, security and the budget owner each confirm their part of the deal is acceptable. The checklist makes that gate the same every time, whoever is requesting.
Most approval problems are not bad clauses. They are contracts signed before finance confirmed the budget, before security saw the vendor, or with a schedule missing. A checklist puts the checks in order and records who ticked each one.
It is not a clause-by-clause review. Legal reads the draft separately; this list confirms that the review happened, that the right people approved, and that someone owns the contract once it is signed.
This checklist is a starting point, not legal advice.
Cover six areas before signature. Each one has a natural approver.
| Area | What the approver confirms | Approver |
|---|---|---|
| Basic information and parties | The right entities, signatories, dates and renewal terms | Procurement, Legal |
| Scope and performance obligations | Deliverables, acceptance and change orders are clear | Business owner |
| Financial terms and budget | Price, payment terms and allocated funds | Finance |
| Legal risk and compliance | Law, liability, termination, confidentiality and IP | Legal |
| Security and privacy | Data is protected and the supplier is screened | Security |
| Internal approvals and handoff | Every sign-off is logged and an owner takes over | Procurement |
Route by value so a small renewal does not wait in the same queue as a multi-year deal. The contract value filter in the checklist uses these three tiers.
Multi-year, strategic or data-heavy contracts.
Executive or board sign-off before signature
Typical software and services contracts.
Legal, finance and security sign-off
Low-value purchases on standard terms.
Budget owner and procurement only
| Routing form line | Who signs |
|---|---|
| Request and business case | Requester |
| Budget confirmed | Budget owner, Finance |
| Commercial terms checked | Procurement |
| Legal review complete | Legal |
| Security and privacy review complete | Security |
| Final authorisation | Authorised signatory |
Turnaround times are suggestions. Set your own and publish them so requesters can plan.
The checklist covers what to verify; the workflow decides who sees it and in what order. Use this contract approval workflow checklist to set up or fix the routing.
Download the contract approval checklist so every owner can work their own rows in Excel or Google Sheets, with status and dates.
Some issues stop approval outright; others need a second look. Use this screen before the contract reaches the signatory.
Each approver checks one thing well. Do not ask legal to confirm budget or finance to judge an indemnity.
| Approver | Confirms | Not their job |
|---|---|---|
| Budget owner | The need and that funds exist | Clause wording |
| Finance | Price, payment terms, cost centre | Security risk |
| Legal | Law, liability, termination, IP | Whether the price is fair |
| Security or IT | Data protection and access | Payment terms |
| Procurement | Vendor, commercial terms, complete file | Final legal opinion |
| Authorised signatory | That every approval above is in place | Re-reviewing the whole contract |
Renewals and amendments are where approvals get skipped, because the vendor already feels approved. Run the same checklist, but focus on what has changed since the last signature.
| Contract type | Focus the approval on | Easy to miss |
|---|---|---|
| New contract | Every check, including supplier risk and security | Vendor paper accepted without a redline |
| Renewal | Price change, usage, notice period and any new data shared | Budget owner never asked if the tool is still needed |
| Amendment | The changed scope, price or term, and who signs it | Amendment signed by someone below the original approval level |
| Order form under a master agreement | Value against the master terms and the remaining budget | Order form terms quietly override the master agreement |
Each step has one owner and one record, so a contract never reaches signature with a review still open.
Submit the contract with value, term and business case.
Finance, legal and security check their areas in parallel.
Approvers sign off, or send back with a reason.
The authorised signatory signs the approved version only.
File the signed copy, dates and post-signature owner.

Most lists name offer, acceptance, consideration, capacity, intention to create legal relations, certainty of terms and a lawful purpose. Legal confirms these during review; the approval checklist confirms that review happened.
It is legal's list for reading a draft clause by clause before signature. A contract approval checklist sits on top of it, confirming the review, the budget, the security check and every sign-off.
The budget owner, finance, legal, security for any vendor handling data, procurement, and finally an authorised signatory. The download includes a routing form with these sign-off lines in order.
It is the route a contract takes from request to signature: who reviews it, in what order and how fast. A good one routes by value, runs reviews in parallel and records every decision.
Yes. Download it as Excel, a Google Sheet or a printable PDF from this page. The PDF includes the routing form so you can attach it to a paper contract.
