Spendflo includes certain AI Features as part of eligible subscriptions to help customers automate and improve procurement, vendor management, contract, renewal, intake, approval, and spend-related workflows. These AI Features are designed for ordinary business use by Customer’s authorized users within the scope of Customer’s subscription. For the avoidance of doubt, “ordinary business use” means usage consistent with the volume and frequency reasonably expected for a business of the Customer’s size and subscription tier. Any specific usage thresholds are defined in the Customer’s applicable subscription agreement.
To ensure reliable service for all customers and to manage compute-intensive AI infrastructure responsibly, AI Features are subject to fair use. Fair use is not determined by any single factor in isolation, but is assessed holistically based on the overall pattern and cumulative volume of a Customer's usage across a combination of indicators including number of AI prompts, copilot queries, agent invocations, workflow actions, document pages processed, contracts reviewed, suppliers assessed, tokens processed, API calls, concurrent sessions, model calls, data retrieval volume, vector indexing, automation frequency, and other technical or commercial usage indicators.
Usage may be considered excessive where it materially exceeds ordinary business use, materially exceeds applicable usage parameters, creates disproportionate infrastructure or third-party AI model costs, affects service performance, uses automated or high-frequency access patterns, or circumvents intended product controls.
Where usage approaches or exceeds fair-use levels, Spendflo may notify Customer with at least 30 days advance notice in normal circumstances and immediately in cases where the usage is exponentially exceeded, provide available usage information, and work with Customer to optimize workflows or agree on additional AI capacity. If usage remains excessive, Spendflo may apply reasonable technical or commercial controls, including rate limits, throttling, queuing, temporary restrictions, feature-level limits, migration to a more suitable integration path, or additional fees on a prospective basis.All notices under this section shall be provided in writing to the Customer’s designated contact. Customers will have a reasonable opportunity to respond or dispute before any enforcement action is applied.
Spendflo may update this policy from time to time to reflect changes in AI infrastructure, model-provider pricing, product capabilities, customer usage patterns, applicable law, or third-party provider requirements. Material changes will be communicated to Customers with at least 30 days’ prior written notice. Nothing in this Fair Use Policy limits any rights expressly granted to Customers under their applicable subscription agreement.
